1. The Service

DormCircle provides a SaaS hostel management software and school management solution designed to help Schools manage hostel operations and facilitate communication with the parents of their enrolled students through our parent communication app and student hostel app.

2. Data Roles and Responsibilities

• Data Controller (The School): The School is solely responsible for the accuracy, quality and legality of all data entered into the hostel management software. You confirm that you have obtained all necessary consents from Parents and Staff.
• Data Processor (DormCircle): We process School Data only on your behalf and in accordance with your instructions, these Terms, and our Privacy Policy.

3. School's Obligations

• Acceptable Use: Use the hostel management software in compliance with all applicable laws.
• User Accounts: Be solely responsible for maintaining the confidentiality of all School Staff login credentials in the warden management system.
• Data Accuracy: Be solely responsible for the accuracy and timeliness of all information entered into the school management solution, including health logs, attendance records and academic reports.
• Parental Consent: Secure all necessary consents from Parents to allow DormCircle to send communications to them via the parent communication app.

4. Fees and Payment

• Subscription Fees: Fees as outlined in the mutually agreed-upon Order Form.
• Payment Terms: All invoices due within thirty (30) days of receipt.
• Non-Payment & Suspension: We reserve the right to suspend access to the hostel management software after ten (10) business days' written notice of non-payment.

5. Intellectual Property

• Our IP: We own all rights to the hostel management software, school management solution, DormCircle platform, our logo and all underlying software and code.
• Your IP: You own all rights to your School Data. You grant us a limited licence to use this data solely to provide the Service.

6. Term and Termination

• Term: Initial term of one (1) year from the Service Start Date, auto-renewing for subsequent one-year terms unless written notice of non-renewal is provided thirty (30) days before the end of the current term.
• Effect of Termination: Upon termination, access to the hostel management software ceases. All School Data is deleted within ninety (90) days.

7. Disclaimer of Warranties

The hostel management software and school management solution is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the Service will be uninterrupted or error-free.

8. Limitation of Liability Important

DormCircle is a hostel management software and communication platform. We are not a health, safety or emergency service. The School and its Staff are solely responsible for the actual care and well-being of students.

Our total liability shall not exceed the total subscription fees paid to us in the twelve (12) months preceding the event giving rise to the claim.

9. Indemnification

The School agrees to defend, indemnify and hold harmless DormCircle from any claims, damages or expenses arising from your use of the hostel management software or your breach of these Terms.

10. Governing Law

These Terms shall be governed by the laws of India, with exclusive jurisdiction given to the courts located in Guwahati, Assam.

11. Changes to Terms

We reserve the right to modify these Terms at any time, providing at least thirty (30) days' notice for material revisions.
